仲裁:
Anydisputesarisingfromtheexecutionof,orinconnectionwiththiscontractshallbesettledamicablythroughfriendlynegotiationsbetweenbothparties.Incasenosettlementcanbereachedwithin21daysthroughnegotiation,thecaseshallbesubmittedtotheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionalInternationalTrade,forarbitration,inaccordancewithitsprovisionruleofprocedure.Thearbitralawardshallbeacceptedasfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingparty.

15.装运条款（TermsofShipment）：
(1)FOB交货方式
卖方应在合同规定的装运日期前30天，以＿＿＿＿方式通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。
(2)CIF或CFR交货方式
卖方须按时在装运期限内将货物由装运港装船至目的港。在CFR术语下，卖方应在装船前2天以＿＿＿＿方式通知买方合同号、品名、发票价值及开船日期，以便买方安排保险。

17.质量保证（QualityGuarantee）：

18.检验（Inspection）（以下两项任选一项）：
（1）卖方须在装运前＿＿日委托＿＿＿＿＿＿检验机构对本合同之货物进行检验并出具检验证书，货到目的港后，由买方委托＿＿＿＿＿＿＿＿检验机构进行检验。

(2)发货前，制造厂应对货物的质量、规格、性能和数量/重量作精密全面的检验，出具检验证明书，并说明检验的技术数据和结论。货到目的港后，买方将申请中国商品检验局(以下简称商检局)对货物的规格和数量/重量进行检验，如发现货物残损或规格、数量与合同规定不符，除保险公司或轮船公司的责任外，买方得在货物到达目的港后＿＿日内凭商检局出具的检验证书向卖方索赔或拒收该货。在保证期内，如货物由于设计或制造上的缺陷而发生损坏或品质和性能与合同规定不符时，买方将委托中国商检局进行检验。
Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within_____daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.
19.索赔（Claim）：
买方凭其委托的检验机构出具的`检验证明书向卖方提出索赔（包括换货），由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。
20.迟交货与罚款（LatedeliveryandPenalty）:
买方有权对因此遭受的其它损失向卖方提出索赔。
ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat______%forevery______days,odddayslessthan_____daysshouldbecountedas______days.Butthepenalty,however,shallnotexceed_______%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery______dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.

21.不可抗力（ForceMajeure）：
凡在制造或装船运输过程中，因不可抗力致使卖方不能或推迟交货时，卖方不负责任。在发生上述情况时，卖方应立即通知买方，并在＿＿天内，给买方特快专递一份由当地民间商会签发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加快交货。如事故延续＿＿天以上，买方有权撤销合同。
TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithin_____daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan_____daystheBuyershallhavetherighttocanceltheContract.
22.争议的解决(Arbitration):
凡因本合同引起的或与本合同有关的任何争议应协商解决。若协商不成，应提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

23.通知（Notices):

2、价格：指由双方协商确定的产品价格，以双方签字生效的报价单为准。

3、产品：指在生效采购合同、订单、报价单或双方签署的规格，质量，维修条款/协议中所列的由供方提供给需方的产品和/或服务，在本合同中，产品与服务统称为产品。
Productmeansanyproductsand/orservicestheSupplierprovidetotheDemanderundertheeffectiveprocurementcontract,order,pricequotationsheetorspecification,qualityandmaintenancetermsandconditions/agreementssignedbybothparties,andrefertoboththeproductsandservicesinthiscontract.
EffectiveOrdermeansanformalorder-placingnoticecontainingsuchcontentasmodel,quantity,price,deliveryconditionsandpaymentconditionsoftheproducts,deliveredfromtheDemandertotheSupplierandconfirmedwithinthecorrespondingtime,bythemeansagreeduponbybothpartiesorthemeansrequestedbytheDemander,whichisadocumentauthorizingtheSuppliertoexerciseitsresponsibilitytodelivertheproductsunderthiscontract.
5、需方商标：指需方拥有的“TCL”、“TCL-legrand”、“LEGRAND”或以上文字或图形的'任意组合以及需方目前拥有的或现在正在申请的、或将来所有的其他商标或其它标识。
Demander’sTrademarkmeansanynameorsigncontainingeitherTCL,orTCLInternationalElectrical,orLegrandoranycombinationoftheforegoingwhichiscurrentlyownedbytheDemanderandapplicationisbeinglodgedorwillbelodgedfortrademarkorlogo.
ProductSupportingDocumentmeansinstruction,drawing,circuitdiagram,user’smanual,marketingmaterials,qualitycertificateandanyothersimilardocumentinformationforanyproducts.
二、采购合同效力：EffectofProcurementContract::
Thetermsandconditionnsunderthiscontractareapplicabletosupplementaryarticles,order,pricequotationsheetandsupplementaryagreementandtheirrelevantrevisionsenteredintoandvalidatedunderthiscontract.Supplementaryarticlesconcerningprice,technicalspecification,qualitystandardandmaintenanceserviceforvariousproductsshallbeenteredintobytheSupplierandDemanderinaccordancewiththiscontract,whichshallactasthesupplementtothiscontract.
2、本合同的签署并不表明需方有义务购买供方的产品，本合同也不限制需方向其他货源采购与供方所提供产品相同或类似的产品。需方采购供方产品的义务仅在生效订单下才对需方有法律约束力。
ThesignatureofthiscontractdoesnotimplythattheDemanderisliableforpurchasingproductsfromtheSupplier,norrestrictstheDemandertopurchasetheproductsidenticalorsimilartotheSupplier’sfromsourcesotherthantheSupplier.TheDemanderisonlylegallybounduponplacementofeffectiveorderforproductsfromtheSupplier.
三、价格及付款：PriceandPayment:
1、需方向供方提供产品报价单格式。供方在双方约定或需方要求的期限内，根据需方所提供的报价单格式填写相应内容并交需方确认(如无另行约定，供方应自收到需方报价单格式之日起三个工作日内将相应内容交需方进行确认)。经需方书面接受的报价单上之价格为正式生效的产品报价，双方应全面履行。经双方确认并生效的几份或数份报价单之间，以最后生效的报价单所载的内容为当前阶段(报价和期间)为生效执行的产品价格(和期间)。对于需方要求提供的成本结构清单，供方需要在报价单的同时按照需方要求格式附带提供相应文档。
TheDemandershallprovideapricequotationformformattotheSupplier.TheSuppliershallfillinthepricequotationformandsenditbacktotheDemanderforconfirmationwithinaperiodoftimeagreeduponbybothpartiesorrequestedbytheDemander(unleotherwiseagreedupon,theSuppliershallfillintheformandsenditbacktotheDemanderwiththree(3)workingdaysafterreceiptofthepricequotationformformatfromtheDemander).ThepriceonthepricequotationsheetacceptedbytheDemanderinwritingrepresentstheformallyvalidatedproductpriceandshallbecompliedwithbybothparties.Thecontentspecifiedinthepricequotationformlastvalidatedrepresentsthecurrentproductpriceandshallbeexecutedbybothpartieswhenanumberofpricequotationformshavebeenconfirmedandvalidatedinbetween.TherelevantdocumentcontainingCostStructuredemandedbytheDemandershallbeprovidedintheformasrequiredbytheDemander.
2、供方对需方的报价必须遵循诚信的原则，供方不得采取向研发/工程部门报以低价，而向采购部门报以高价等不诚信行为;一旦发生类似情况，需方有权终止本合同并保留向供方索赔的权利。

3、合同产品经需方检验合格入库后，电汇____天或承兑____天(如应供方要求,需方提前支付货款,则供方需承担对应期间的资金利息,双方约定计息标准为年利率6%)。

1、需方给供方下达网上订货单(若无共享网络资源的需下达书面订单)，应在订货单中明确交货日期及每次的交货数量，并通知供方;供方应遵守订货单所载内容交货，除非双方事先以书面形式同意变更订货单的约定内容外，供方的交货不得与订单的约定内容有异。
TheDemandershallspecifythequantityofproductstobedeliveredeachtimeandthedeliverydateontheonlinepurchaseorder(purchaseorderinwritingshallbemadeiftheDemanderhasnoaccetointernet)andnotifytheSupplier.TheSuppliershalldelivertheproductsasspecifiedonthepurchaseorder.ThedeliveredproductsbytheSuppliershallnotbeinconsistentwiththepurchaseorder,unlepriorconsentismadebybothpartiesinwriting.
TheSuppliershallreplytotheDemanderinwritingbywayofFaxforconfirmationwithintwo(2)workingdays(demander’sworkingday)afterreceiptofthenormalpurchaseorderorwithinone(1)workingdays(demander’sworkingday)afterreceiptoftheemergencypurchaseorder.IfnoreplyismadebytheSupplierwithinsuchforegoingperiod,theSupplierisdeemedtohaveagreedtheproductdeliveryrequirementspecifiedonthepurchaseorder.Thedeliverytimewhichthesupplyconfirmedcan’texceedthetimeontheattachedfilesagreedbybothparties.
TheDemandermaychangeorterminatetherelevanteffectivepurchaseorderincasethatthedemandoftheproductsischangedduetothechangeofthemarketorotherunpredictablefactors.TheDemandershallnotifytheSupplierofsuchchangeorterminationoftherelevanteffectivepurchaseorderinatimelymanner.Detailsarrangementshallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.
五、交货和包装：DeliveryandPackaging:
1、交货：Delivery:
1.1除非双方另有约定，本合同的交货是指由供方或供方委托的人员或机构将产品交到需方仓库，与需方仓库责任人办理交货手续，并同时提供有关产品的单证和资料，并承担相应费用(包括但不限于运输、保险及卸货的费用)。
Unleotherwiseagreeduponbybothparties,deliveryunderthiscontractmeansthattheSupplier,orthepersonnelorinstitutionauthorizedbytheSupplierdeliverandturnovertheproductstotheresponsiblepersonoftheDemander’swarehouse,withprovisionofrelevantcertificateandinformationoftheproductsconcerned,andbeartherelevantcost(includingbutnotrestrictedtotransport,insuranceandunloadingcost).
TheSuppliershalldelivertheproductsontimeasspecifiedontheeffectivepurchaseorderconfirmedbythebothparties.IftheDemanderneedsanadvancedelivery,theDemandershallnotifytheSupplierwhoshallendeavortosatisfysuchrequestbytakingappropriateactions,orshallnotifytheDemanderinwritingoftheearliestpossibledeliverytimeandquantitywithinone(1)workingdayafterreceiptofthenoticefromtheDemander.
TheSuppliershallnotdelivertheproductsaheadoftheschedule,unledemandedorconsentedbytheDemander.DeliveringtheproductsaheadofthescheduleisdeemedtobeSupplier’sfailuretomakethedeliveryontime,andtheDemanderreservetherighttorefusetoacceptsuchproduct.
1.4因供方原因迟延交货，导致需方不能向第三人紧急出货时，需方有权向其它方采购，并且由此产生的费用由供方承担;且如因此导致需方遭受损失时，供方需赔偿其损失;若因不可抗力的天然灾害所导致的交货延迟，则供方不须赔偿或负担其费用。
TheDemanderreservetherighttoprocuretheproductsfromothersourcesunderthecircumstancethattheDemanderfailstomaketheemergencydeliveryoftheproductstothethirdpartyduetothedelayeddeliveryoftheproductsfromtheSupplierwhoisresponsibleforanycostincurredfromtheprocurementfromothersources.TheSuppliershallcompensatetheDemanderforanyloincurredfromthedelayeddeliveryoftheproductswhichisduetoanycausesotherthanforcemajeureincludingnaturaldisaster.
1.5如应需方的要求必须更改订单所记载的订单内容，应由双方协商后，形成书面文件。
AnychangestothecontentofthepurchaseorderasrequestedbytheDemandershallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.
2、包装：Packaging:
2.1除非另有规定，包装物应由供方提供并自负费用，包装物上的装运标志必须符合需方要求。
Unleotherwisespecified,theSuppliershallprovideandpayforthepackagingmaterials,andthepackinglogoonthepackageshallbecompliantwiththerequirementoftheDemander.
2.2供方应保证所提供的包装物符合运输、产品安全的要求;供方应采用合适的安全措施，妥善包装货物，达到防潮、防湿、防震、防尘等要求;双方对包装方式另有约定的，应遵守双方约定;因包装不符合规定造成产品损坏、灭失或其他损失的责任由供方承担。
TheSuppliershallensurethepackagingmaterialsprovidedcomplywiththerequirementfortransportandsafetyoftheproducts,andshalltakeallappropriateprecautiousmeasuresagainstdamp,humidity,vibrationanddust.Theproductsshallbepackedbythemeansagreeduponbybothparties.TheSuppliershallbeliableforanydamages,lossesfromtheproductsoranyotherlossesarisingfromnon-compliancewithpackagingspecification.
六、收货及检验：AcceptanceandInspection:
1、双方应按照约定交货方式进行交货;需方应于供方产品送达约定地点后清点合同产品，核对产品数量、名称、包装等，并办理收货确认手续。
TheproductsshallbedeliveredtotheDemanderbythemeansagreeduponbybothparties.Thedemandershallcheckforthequantity,nameandpackageoftheproductsasspecifiedonthepurchaseorderfortakeoverconfirmationatthedeliverydestinationagreeduponbybothparties.
Theproductsshallbeacceptedinaccordancewithsuchacceptancecriteriaasproductsample,thediagram,InspectionCriteria,InspectionSpecificationagreeduponbybothparties,orinaccordancewithnationalstandardorindustrystandardifnoacceptancecriteriaisprovided,orinaccordancewiththeactualneedoftheDemanderifnostandardisavailable
3、产品验收合格不表示产品质量合格，
Theacceptedproductsdonotmeanqualitypassed.TheSuppliershallbeliableforanydirectandindirectlosustainedbytheDemanderarisingfromseriousqualityproblemsordefectsoftheproductsfoundinthecourseofusingorconsumingtheproductssuppliedbytheSupplier.
七、品质保证：QualityAssurance:
Unleotherwisespecified,theproductsdeliveredbytheSuppliershallbeincompliancewith:①‘RepresentationandWarranty’andthetermsandconditionsunderthiscontract;②producttechnicalspecification,inspectionstandardandtheirrelevantrevisions,andthecriteriacontainedinnoticeofproject,scheduleandspecificationmodificationissuedandconfirmedbybothpartiesfromtimetotime;③criteriaasspecifiedontheeffectiveorderandasshownintheproductsample.Shouldtherebeanyconflictsamongthecriteriamentionedabove,thecriterialastconfirmed,orthehigherstandardshallbeexecutedifthetimeforthecriteriaconfirmationfailstobeidentified.
2、根据需方QA部的要求，供方应当配合《品质保证协议》的签署工作，进行积极协调并达成双方都能接受的共识，促成双方成功签署《品质保证协议》;双方都有认真履行《品质保证协议》的义务。
TheSuppliershallproactivelycooperatewiththeDemander’sQAdepartmenttofacilitatethesignatureofQualityAssuranceAgreementandthegenerationofconsensusacceptabletobothparties.BothpartiesareliableforearnestlyexecutingtheQualityAssuranceAgreement.
3、双方将来可对上述内容规定做更明确的补充规定，但该补充规定的标准高于上述规定的或有更具体的标准的，按补充规定执行;低于上述规定的标准的，按上述规定的标准执行。
Bothpartiesmayenterintomorespecificregulationssupplementedtotheregulationsabove.Thesupplementshallbeexecutedifthecriteriacontainedarehigherthanthoseofforegoing,ormorespecificcriteriaareprovided.Buttheregulationsaboveshallbeexecutedifthecriteriacontainedinthesupplementarelowerthanthoseoftheforegoing.
八、陈述和保证：RepresentationandWarranty:
1、供方对其提供的产品享有合法的所有权，同时没有索赔、扣押、抵押或其他行为存在或威胁到供方，以致妨碍到需方对产品使用和销售。
TheSupplierisentitledtotheownershipoftheproductsprovidedandthereisnoexistenceofanyclaim,impoundment,mortgageoranyotherthreatenedactionsagainsttheSupplier,whichmayleadtopreventtheDemanderfromusingandsellingtheproducts.
Theexecutionofthiscontractshallnotviolateanyrelatedterms,responsibility,laws,regulationsanddecrees,andanyapplicablemandatorylaws,regulationsconcerningproductmanufacture,storageandsale.
3、产品是原厂新的且不包含任何用过的或修过的部件，并正常进口。
Theproductsshallbenewly-manufacturedfromtheoriginalmanufacturerexclusiveofanyusedorrepairedcomponents,andshallbeimportedthroughnormalprocedure
4、供方产品及其产品支持文件不侵犯任何第三方的知识产权，需方不会因使用、销售产品或产品的任何部分侵害任何第三方的知识产权。
TheproductanditssupportingdocumentsprovidedbytheSuppliershallnotinfringetheintellectualpropertyrightsofanythirdparty.UndernocircumstanceshouldtheDemanderbeliableforinfringementofintellectualpropertyrightsofanythirdpartybyusing,sellingtheproductsinwholeorinparts.
5、遵守本合同“价格条款”的有关规定，不进行欺诈性报价。
ThePricingTermsunderthiscontractshallbeabidedbyandnofraudulentpricequotationisallowed.
ThemanufacturingmaterialsprovidedfromtheDemandertotheSuppliershallbeonlyusedformanufacturingtheproducts.TheSuppliershallprovidearobustandsafewarehousetostoresuchmaterialsandshallberesponsiblefortheperformance,quantityandqualityofsuchmaterialsbeforetheusage,andshallbeliableforanycostinassociationwiththeinsuranceifnecessary.
7、关于货品制造上必须使用的模具;
Themoldwhichhastobeusedfortheproductmanufacturing:
双方需制定模具采购/保养合同，该合同中应包含关于模具价格、付款、所有权、保管、保密、技术协议等内容，双方均需按照此模具采购合同执行。
MoldProcurementandMaintenanceAgreement,whichcontainssuchcontentasprice,payment,ownership,storage,confidentialityandtechnologyagreementsshallbeenteredintoandexecutedbybothparties.
8、知识产权：IntellectualPropertyRights:
8.1使用许可：除非另有约定，供方向需方提供的本合同涉及的产品并不视为该产品所含有的供方拥有或控制的任何知识产权的转让;但对于需方在加工、组装、使用或销售产品时必须拥有知识产权许可的产品，供方依据本合同有权并已经向需方授予了该知识产权的符合本合同目的的使用许可。
UsageLicense:theprovisionoftheproductsfromtheSuppliertotheDemanderunderthiscontractisnotdeemedtotransferanyintellectualpropertyrightscontainedintheproductswhichisownedorcontrolledbytheSupplier,unleotherwiseagreedupon.TheSupplierreservetherighttograntandhasgrantedtheDemandertheUsageLicenseforprocessing,assembling,usingorsellingtheproductswhichareintellectualpropertyrightslicenserequired,inlinewiththeobjectiveofthiscontract.
8.2需方提供的部件：如果需方提供部件供供方使用以履行本合同，则供方只能将需方提供的部件用于此目的。
UnderthecircumstancethattheDemandershouldprovideacomponenttotheSupplierforthepurposeofexecutingthecontract,theSuppliershallonlyusesuchcomponentprovidedbytheDemanderforsuchpurpose.
8.3在本合同项下需方提供的任何技术、设计及功能需求，其知识产权和财产权归需方所有，此类技术、涉及或功能仅限于按需方要求移植到合同产品上去。
Theintellectualpropertyrightsandpropertyrightsofanytechnology,designandfunctionalityprovidedbytheDemanderunderthiscontractbelongtotheDemanderandsuchtechnologyandinvolvingfunctionsshallonlybetransplantedontotheproductsasspecifiedonthecontract
9、保密：Confidentiality:
AnyconfidentialinformationacquiredfromtheDemanderorfromthiscontract,orrelevanttoDemander’sbusineandtechnology,andanyinformationinvolvingcommercialconfidentialityprovidedbytheDemanderinthecourseofnegotiationshallneverbedisclosedbytheSuppliertoanyotherpersonevenaftertheterminationofthiscontract,exceptforthoseinformationwhichisavailableinpublicorformallyacquiredfromthethirdparty.TheSuppliershallreturnalldocumentsandmaterialscontainingsuchinformationtotheDemander,uponrequestbytheDemander.
9.2如根据政府法令或法律程序要求任何一方必须向政府、裁判机构或任何第三防提供上述资料，可按规定提供，但应尽快将此项事实通知对方。
Eitherpartyshallnotifytheotherpartyinatimelymannerofthefactthatsuchinformationmentionedabovehasbeendisclosedtothegovernment,supervisoryinstitutionoranythirdpartyasdemandedbythegovernmentregulationsorlaws.
9.3本合同任何变更、解除或终止均不影响本条款的效力。
Theeffectiveneofthistermshallnotbeaffectedbymodification,terminationorexpirationofthiscontract.
九、违约责任：LiabilitiesforBreachofContract:
ShouldtheSupplierfailtodelivertheproductsbythetimeasrequiredontheeffectiveorder,theSuppliershallbeliableforthepenaltyarisingfromoverduedelivery,namelybypayingapenaltyof1%ofthesumofpayableontheorderforeveryoverdueday.Shouldthedeliveryisoverdueforten(10)days,theDemanderreservetherighttodischargethebindingforceoftheorderandshallbeliableforthepenaltyarisingfromfailuretomakethedelivery,namelybypayingapenaltyofdoublethatofthesumontheorder.
2、供方应交付验收合格的产品，否则需方有权退货，供方应在5日内重新送货验收，并承担逾期交货的违约责任。若再次验收不合格，需方有权解除该次订单，供方应承担不能交货的违约责任，即支付订单总额一倍的违约金。
TheDemanderreservetherighttorejectanyproductsfailedtobeacceptedbytheDemander,andtheSuppliershallre-delivertheproductsreplacingthoserejectedwithinfive(5)workingdaysandbeliableforthepenaltyarisingfromtheoverduedelivery.Shouldtheproductsdeliveredforthesecondtimefailtobeacceptedagain,theDemanderreservetherighttoterminatesuchorderandtheSupplierisliableforthepenaltyarisingfromfailuretomakedelivery,namelybypayingapenaltyofdoublethatofthesumontheorder.
3、供方未按照订单要求的数量交付产品，应在3日内补齐，并承担相应的逾期交货违约责任。
Shouldtheproductsasspecifiedontheorderfailtobedeliveredinwhole,theSuppliershallreplenishtheundeliveredproductswithinthree(3)daysandbeliableforthepenaltyarisingfromtheoverduedelivery.
4、需方应按约定付款，否则应承担逾期付款的违约责任，即每逾期一天应支付未付货款总额的万分之五作为违约金。
TheDemandershallmakethepaymentagreeduponorotherwisebeliableforthepenaltyarisingfromtheoverduedelivery,namelybypayingapenalty5ofthesumofoutstandingpaymentforeachoverdueday.
Shouldtheproductsbedeemedtobeinspection-freebytheDemander,theSuppliershallprovideallrelevanttechnicalinformationorqualityassurancecertificateastheattachmenttothecontract.TheSuppliershallbeliableforanylosustainedbytheDemanderarisingfromthequalityproblemsoftheproductsprovidedbytheSupplier.
6、本合同约定的违约金，作为违约的损失赔偿。如约定违约金数额低于实际损失，以实际损失为准进行赔偿。损失赔偿包括合同履行后可以获得的利益，但不得超过违反合同一方订立合同时应当预见到的因违反合同可能造成的损失。
Thepenaltyagreeduponunderthiscontractisdeemedtobethecompensationforbreachofcontract.Shouldtheagreedpenaltybelowerthantheactualloss,theactualloshallbecompensated.Locompensationmaybeinclusiveoftheattainedbenefitafterexecutionofthecontract,butshallnotexceedthelopossiblyincurredfrombreachofcontractwhichshouldbeforeseeninthetimeofenteringintothecontractbytheviolatingparty.
十、合同解除：TerminationofContract:
1、本合同任何一方均有权于另一方发生下列情形时解除本合同：
Eitherpartyofthecontractreservestherighttoterminatethiscontractuponrealizationofanyfollowingcircumstances:
1.1一方迟延履行合同义务，导致另一方的合同目的不能实现的，或者一方迟延履行合同义务，经另一方催告后十天内仍不履行的。
Eitherpartydelaysexercisingitsobligationunderthiscontract,whichcausestheotherparty’sfailuretorealizetheobjectiveofthecontract,oreitherpartystillfailstoexerciseitsobligationwithinten(10)daysafterbeingurgedbytheotherparty.
1.2另一方已经提出破产申请或被他人提出破产申请，或进入其他类似的法律程序的。
Applicationforbankruptcyhasbeenlodgedbytheotherpartyoranyotherparty,orsimilarlegalprocedurehasbeenunderway.
1.3另一方经营状况严重恶化。Thebusineoftheotherpartyisdeteriorating.
1.4另一方有转移财产、抽逃资金、逃避债务的行为。
Theotherpartyisfoundtobetransferringitsproperty,removingitscapitalorevadingitsliabilities.
1.5当供方因各种原因要终止供货协议时，需提前3个月书面通知需方，需方根据需要，可以要求供方提供需方3个月的用量。如拒绝生产，则供方需向需方赔偿半年的供货金额。
Thesuppliershouldinformdemanderinadvanceof3monthsinwrittenwhendecidestoendsupplyingagreement,andshouldsupplythequantityofthecomponentsfordemand’s3months’consumptionifdemandrequire.Ifsupplierrefusestosupply,thensuppliershouldpayapenaltyofsemi-year’stransactionamount.
2、本合同因任何原因终止或解除后，双方在本合同及其附属文件项下的权利义务立即终止，但本合同及其附属文件项下售后服务条款、保证条款、违约责任条款、争议解决方式条款、知识产权条款及保密条款、以及其他依其性质应当继续有效的条款仍然有效。解除协议并不影响任何一方对因另一方违约或侵权行为造成的损失进行索赔的权利。
Therightsandobligationsofbothpartiesunderthiscontractanditsassociatingdocumentshallbeterminatedimmediatelyuponterminationordischargeofthiscontractforanyreasons,butanytermsconcerningAfter-saleService,Guarantee,BreachofContract,DisputeSolution,IntellectualPropertyRights,Confidentialityunderthiscontractoritsassociatingdocument,andanyothertermswhichshouldremaineffectiveinnature,shallremainineffect.Dischargeofcontractshallnotaffecteitherpartytoclaimagainsttheotherpartyforanyloarisingfromitsbreachofcontractorinfringementofcopyrights.
十一、一般条款：Generality:
1、本合同的有效期间以双方签订日期为准。
Theeffectiveperiodforthiscontractistheperiodenteredintobybothparties.
ProcurementortechnicalpersonnelfromtheDemanderhasnorightstomakeanywrittenororalwarrantiesontheactualcontentoftheprice,quantity,deliverydate,liabilitiesforbreachofcontract,acceptanceunderthiscontract,unleconfirmedwithstamporspeciallyauthorizedbytheDemander.Theassignedrepresentativeunderthiscontractisonlyauthorizedtosignthiscontract,withnoanyotherauthorization.
3、只有在得到需方书面同意时，供方可以使用需方商标。
TheSupplierisnotallowedtousetheDemander’strademark,unleconsentinwritingbytheDemanderisattained.
4、因履行本合同发生异议，由双方当事人协商解决;协商不成的，应以向需方住所地人民法院提起诉讼的方式解决。
AnydisputesintheexecutionofthecontractshouldbenegotiatedbetweenbothParties.IfthePartiescannotresolvethedisputebynegotiation,themattershouldbesubmittedtothePeople’sCourtoftheDemander’sresidentjurisdictionforlegalactions.
5、本合同一式四份，由双方签名盖章后生效，其中供方一份，需方三份。
Thiscontractisinquadruplicateandonlyvalidatedaftersignatureismadebybothparties,withtheSupplierinpossessionofonecopyandtheDemanderinpossessionoftheotherthreecopies.
