本服务协议（以下可称为“本协议”或“协议”）双方为南京苏宁易付宝支付科技有限公司（以下简称“苏宁易付宝”或“本公司”）与入驻苏宁海外购平台并使用易付宝服务的法律实体（以下简称“商家”）。
ThisServiceAgreement(hereinafterreferredtoas“theAgreement”)isconcludedbetweenNanjingSuningPaymentTechnologyCo.,Ltd.(hereinafterreferredtoas“SuningPay”or“theCompany”)andalegalentitywhichhassettledontoSuningOverseasPurchasePlatformandwhichenjoysSuningPayService(hereinafterreferredtoas“theMerchant”).
本协议所提及的苏宁易购网站，是指首页域名为suning.com的网站（若其此后更换域名的，以更换后的域名为准）；苏宁开放平台，是指苏宁易购网站旗下的开放平台业务系统，登陆网址为sop.suning.com（若其此后更换域名的，以更换后的域名为准）；苏宁海外购平台，是指苏宁易购提供技术支持和服务的，专门销售中华人民共和国境外（包括台湾、香港、澳门地区）商品或服务的跨境交易以及结算平台。
ThewebsiteofSuningE-CommercementionedintheAgreementreferstothewebsitewhosehomepagedomainnameissuning.com(Incaseofanychangethereafter,thechangeddomainnameshallprevail).SuningOpenPlatformreferstotheopenplatformbusinesssystemunderthewebsiteofSuningE-Commerce.Pleaselogontothewebsitesop.suning.com.(Incaseofanychangethereafter,thechangeddomainnameshallprevail).SuningOverseasPurchasePlatformreferstotheplatformofcross-bordertransactionsandsettlements,onwhichSuningE-CommerceofferstechnicalsupportandserviceforexclusivelysellingcommoditiesorservicesoutsidetheterritoryofThePeople’sRepublicofChina(includingTaiwan,HongKongandMacao).
Ⅰ.Declarationsandpromises
为了保障商家的权益，请商家务必详细阅读本协议所有内容，特别是字体加粗或以下划线标注的内容。当商家点击同意本协议并完成易付宝账户注册程序，或开始使用易付宝服务时，均表示商家已阅读、了解并同意接受本协议之所有内容。
InordertosafeguardtherightsandinterestsoftheMerchant,theMerchantmustcarefullyreadallcontentsoftheAgreement,especiallytheboldfacedorunderlinedpartoftheAgreement.IftheMerchantclicksforacceptanceoftheAgreementorcompletestheregistrationproceduresofSuningPayAccount,orbeginstoenjoySuningPayService,thentheMerchantshallberegardedashavingalreadyread,understoodandacceptedallcontentsoftheAgreement.
本协议内容包括协议正文、附属协议及所有苏宁易付宝已经发布的或将来可能发布的各类易付宝服务规则（“易付宝服务规则”）；所有易付宝服务规则为本协议不可分割的一部分，与协议正文具有同等法律效力。
TheAgreementshallincludethemainbodyoftheAgreement,itssupplementaryagreements,andallSuningPayServiceRulesthatSuningPayhasalreadyreleasedormayreleaseinthefuture(“SuningPayServiceRules”).AllSuningPayServiceRulesshallbeanintegralpartoftheAgreement,andshallhavethesamelegaleffectasthemainbodyoftheAgreement.
2.AsrequiredbytheperformanceoftheAgreementandtheconvenienceofcommunication,theMerchantagreestoreceiveanyinformationtransmittedbySuningPayoranybusinesspartnerofSuningPayinanyoftheelectronicways,includingbutnotlimitedtoemail,publicityonthewebsiteofSuningE-Commerceorrelevantcooperativewebsite,andnotificationviaanywirelesscommunicationdevice.TheMerchantcantypeorprintanyofsuchelectronicinformationintocounterpartinanyformforsaving,withouttheserviceofawrittenmailbySuningE-Commerce.
3、商家确认同意本协议后，本协议即在商家和苏宁易付宝之间产生法律效力。请商家务必在注册之前认真阅读全部协议内容，如有任何疑问，可向苏宁易付宝咨询。
3.TheMerchantconfirmsthattheAgreementshallimmediatelybecomelegallyeffectivebetweentheMerchantandSuningPayaftertheMerchantacceptstheAgreement.TheMerchantmustcarefullyreadallcontentsoftheAgreementbeforeregistration.Incaseofanyquestion,theMerchantcanconsultSuningPayatanytime.
（1）只要商家点击协议正本下方的“同意协议，并完成注册”或类似同意按钮并按照苏宁易付宝的注册程序成功注册为易付宝用户，即表示商家同意并签署了本协议。
（1）AslongastheMerchantclicks“Accepttheagreementandcompletetheregistration”belowthemainbodyoftheAgreementoranyothersimilaracceptancebuttonandsuccessfullyregistersitselfasaUserofSuningPayaccordingtotheregistrationproceduresofSuningPay,theMerchantshallbeimmediatelyregardedashavingacceptedandsignedtheAgreement.
（2）TheAgreementshallnotinvolveanylegalrelationshiporlegaldisputearisingfromanyonlinetransactionbetweentheMerchantandanyrelevanttransactioncounterparty.TheMerchantshallpayallpayabletaxesandallhardware,software,serviceandotherexpensesarisingfromtheMerchant’scommodityorservicetransactionortheMerchant’saccesstothewebsiteserverofSuningE-Commerce.
（3）如商家所属的国家或地区排斥本协议条款内容之全部或部分，则商家应立即停止使用易付宝服务。
（3）IfthecountryorregiontowhichtheMerchantbelongsrejectsallorpartofthecontentsoftheAgreement,thentheMerchantshallimmediatelystopaccessingSuningPayService.
4、苏宁易付宝仅提供款项代收、代付等约定服务，但不介入商家与任何第三方的交易合同，商家与任何第三方的交易风险和纠纷，由商家自行通过合法途径解决，与苏宁易付宝无关。
4.SuningPayshallmerelyofferfundcollection,paymentandotheragreedservice,butshallstayoutofanytransactioncontractbetweentheMerchantandanythirdparty.AsforanytransactionriskordisputebetweentheMerchantandanythirdparty,theMerchantshallindependentlysettleitthroughalawfulapproachwithoutSuningPay.
二、定义
Ⅱ.Definition
(Ⅰ)“SuningPayAccount”:IftheMerchantintendstoenjoySuningPayServiceundertheServiceAgreement,thenaftertheMerchantnormallycompletestheregistrationproceduresofSuningPayAccount,SuningPayshallprovidetheMerchantwithasoleidentifier,namelySuningPayAccount,andtheMerchantshallindependentlysetapassword,soastoinquireaboutorcalculatetheprepayments,receivablesorpayablesoftheMerchantorcarryoutrelevantoperations.TheMerchantshalltakegoodcareofitsSuningPayAccountPasswordandmustnotdivulgeittoanyotherperson;otherwisetheMerchantshallindependentlybearanyriskorlossthuscaused.
（二）易付宝服务，包括如下服务内容：
(Ⅱ)SuningPayServiceincludes:
1、代收：商家可以要求苏宁易付宝代为收取其他易付宝用户等商家的交易相对方向商家支付的货款等各类款项。
1.Collection:TheMerchantcandemandSuningPaytocollectvariousfunds,e.g.anypaymentforgoods,paidbytransactioncounterpartiesoftheMerchant,e.g.otherSuningPayusers,onthebehalfoftheMerchant.
2、代付：商家可以要求苏宁易付宝将代收的商家的款项支付给商家指定的第三方。商家同意苏宁易付宝代付后，非经生效司法裁决或者非依本协议之约定调整，该支付是不可逆转的，具有不可抵赖性。
2.Payment:TheMerchantcandemandSuningPaytopayanyfundcollectedonbehalfoftheMerchanttoanythirdpartydesignatedbytheMerchant.TheMerchantagreesthatthispaymentshallbecomeirreversibleandundeniableoncemadebySuningPayonbehalfoftheMerchant,unlessaccordingtoanyeffectivejudicialjudgmentorunlessadjustedaccordingtoanyprovisionoftheAgreement.
3.Settlement:TheMerchantcandemandSuningPaytoreturnanyfundcollectedbySuningPayonbehalfoftheMerchantorSuningPaycantaketheinitiativetoreturnanyfundcollectedbySuningPayonbehalfoftheMerchantaccordingtosomerules.WhenSuningPaycarriesoutanysettlement,theMerchantmustprovideaneffectivebankaccountconsistentwiththenameoftheMerchant.SuningPaywillgenerallyremitthecorrespondingfundtoaneffectivebankaccountprovidedbytheMerchantwithinonetosevenworkdaysafterreceivingtheinstruction(TheMerchantunderstandsthatdifferentperiodsoftimewouldbetakentoremitthefundtotheaccountsofdifferentbanksduetodifferentoperationproceduresamongdifferentbanks).Unlessotherwiseagreedinthisclause,SuningPayshallnotacceptanyotherwayoffundreceiptprovidedbytheMerchant.
4、结算币种：在苏宁易付宝结算苏宁易付宝为商家代收的款项时，商家可要求苏宁易付宝将商家易付宝账户中的资金以某种苏宁易付宝支持的结算币种结算至商家提供的有效银行账户中。商家需要保证商家提供的有效银行账户能够支持接受商家指定的结算货币。商家理解，在跨境结算时，可能由于汇率波动引发汇率损益，商家自愿承担该种损益。
4.Settlementcurrency:WhenSuningPaysettlesthefundscollectedbySuningPayonbehalfoftheMerchant,theMerchantcandemandSuningPaytosettlethefundsintheSuningPayAccountoftheMerchanttowardaneffectivebankaccountprovidedbytheMerchantinasettlementcurrencysupportedbySuningPay.TheMerchantneedstoensurethattheeffectivebankaccountprovidedbytheMerchantcansupportthesettlementcurrencydesignatedbytheMerchant.TheMerchantunderstandsthattheMerchantshallvoluntarilybearanygainorlossearisingfromthefluctuationofexchangerate.
5.Inquiry:SuningPayshallrecordalloperationsoftheMerchantinSuningPaySoftwareSystem.Nomatterthepurposeofanyoperationiseventuallyachievedornot,theMerchantcanmakeareal-timeinquiryaboutthetransactionrecordinthenameoftheSuningPayAccountoftheMerchant.TheMerchantagreesthat:UnlessotherwiseapprovedbySuningPay,whileapplyingforinquiringaboutthetransactionrecordoftheSuningPayAccountoftheMerchant,theMerchantshallonlyhavetherighttoinquireaboutthetransactionrecordswhichoccurwithinoneyearbeforetheapplication(IftheSuningPayAccountoftheMerchanthasbeenexistingforlessthanoneyear,theMerchantcaninquireaboutallthetransactionrecordsofSuningPayAccountwhichhavebeenoccurringsincetheopeningoftheaccount).
6、款项专属：对于商家支付到苏宁易付宝并归属至商家易付宝账户的款项及商家通过易付宝账户收到的货款或其他款项，苏宁易付宝将予以妥善保管，除法律另有规定或本协议另行规定外，不作任何其他非商家指示的用途。商家同意商家易付宝账户的上述款项因存放在易付宝备付金账户所生孳息归易付宝所有。
6.Theexclusivenessoffunds:SuningPayshalltakegoodcareofallfundsthattheMerchanthaspaidtoSuningPayandwhichhavebeenincludedintheSuningPayAccountoftheMerchant,andthepaymentsforgoodsandallotherfundsthattheMerchanthasreceivedthroughtheSuningPayAccount.UnlessotherwisespecifiedbylawsortheAgreement,SuningPayshallnotusethesefundsforanyotherpurposethandesignatedbytheMerchant.TheMerchantagreesthatthefructusaccruingfromtheabove-mentionedfundsontheSuningPayAccountoftheMerchantduetotheirbeingdepositedontheprovisionaccountofSuningPayshallbelongtoSuningPay.
商家知晓并同意，易付宝服务的内容，可能会根据苏宁易付宝业务变化或商家的易付宝账户资信等情况，而有所增加、减少或变更。
TheMerchantknowsandagreesthatthecontentsofSuningPayServicemaybeincreased,decreasedorchangedalongwithanychangetothebusinessofSuningPayorthefinancialandcreditstandingoftheSuningPayAccountoftheMerchantoranyothercircumstance.
三、易付宝账户注册及安全
Ⅲ.RegistrationandsecurityofSuningPayAccount
（一）易付宝账户注册
（二）(Ⅰ)RegistrationofSuningPayAccount
在使用易付宝服务前，商家必须先行注册易付宝账户，取得苏宁易付宝提供给商家的“易付宝账户”（以下可简称为“该账户”），商家同意：
BeforeenjoyingSuningPayService,theMerchantmustregisterSuningPayAccountinadvance,andacquirethe“SuningPayAccount”(hereinafterreferredtoas“theAccount”)fromSuningPay.TheMerchantagrees:
1、商家必须是具备完全民事行为能力的自然人，或者是具有合法资格的法人或其他组织。合法资格的法人或其他组织，是指经过合法程序成立，具有特定资质，取得相应权利能力和行为能力、能够承担民事责任的法人或其他组织。无民事行为能力人、限制民事行为能力人，以及无合法资格的法人或其他组织，不应当注册为易付宝用户，其与苏宁易付宝之间的服务协议自始无效，苏宁易付宝一经发现，有权立即注销该账户。
1.TheMerchantmustbeanaturalpersonwithafullcivilconductcapacity,oralegalpersonoranyotherorganizationwithlegalqualifications.“Alegalpersonoranyotherorganizationwithlegalqualifications”referstoalegalpersonoranyotherorganizationwhichhasbeenestablishedthroughlegalprocedures,whichhasacquiredspecificqualificationsandcorrespondingrightcapacityandconductcapacity,andwhichcanassumecivilliability.Anypersonwithoutcivilconductcapacity,anypersonwithlimitedcivilconductcapacity,oranylegalpersonoranyotherorganizationwithnolegalqualificationsshallnotregisteritselfasauserofSuningPay,anditsserviceagreementwithSuningPayshallremainineffectivefromthebeginning.OnceSuningPayfindsouttheabove,SuningPayshallhavetherighttoimmediatelycanceltheaccount.
2、商家正常完成易付宝账户注册后，只有商家本人可以使用易付宝账户，该账户不可转让、不可借用、不可赠与、不可继承。在商家决定不再使用该账户时，商家应将该账户下所对应的可用款项全部提现或者向苏宁易付宝发出其它支付指令后，向苏宁易付宝申请注销该账户。
2.AftertheMerchantnormallycompletestheregistrationofitsSuningPayAccount,noneotherthantheMerchantitselfcangainaccesstotheSuningPayAccount.Theaccountcannotbetransferred,lent,bestowedorinherited.Whendecidingnottoaccesstheaccountanylonger,theMerchantshallwithdrawalltheavailablefundsundertheaccountorissueanyotherpaymentinstructiontoSuningPay,beforeapplyingtoSuningPayforcancellingtheaccount.
3.TheMerchantisobligedtoprovidetruthfuldataaboutitselfwhileapplyingforregistration,andensuretheeffectivenessandsecurityofsuchinformationasemailaddress,telephonenumber,postaladdress,zipcodeandeffectiveidentityinformation(includingbutnotlimitedtoidentitycardandbusinesslicense),andguaranteethatSuningPaycangetintouchwiththeMerchantthroughtheabove-mentionedcontactinformation.
4.TheMerchantisobligedtotimelyupgraderelevantregistrationdatawhichhaveactuallychanged.TheMerchantshallnotusethedataofothersfortheregistrationandcertificationofSuningPayAccount.IftheMerchantprovidesanywrong,untruthful,outdatedorincompletedata,orSuningPayhasagoodreasontosuspectthatthedataarewrong,untruthful,outdatedorincomplete,thenSuningPayshallhavetherighttosuspendorterminatetheSuningPayAccountNumberoftheMerchant,andforbidtheMerchanttopartiallyorwhollyenjoythefunctionsofSuningPayServicewithoutassuminganyliability,andtheMerchantshallbearanydirectorindirectexpenseorlossarisingaccordingly.
5、因商家未及时更新商家的注册资料，导致苏宁易付宝无法正常提供易付宝服务或提供服务时发生任何错误，商家不得将此作为取消交易、拒绝付款的理由，商家将承担因此产生的一切后果，苏宁易付宝不承担任何责任。
5.IfSuningPaycannotnormallyofferSuningPayServiceorcommitsanyerrorwhileofferingtheservicebecausetheMerchantfailstotimelyupgradeitsregistrationdata,thentheMerchantshallnotcancelthetransactionorrefusetomakepaymentaccordingly,theMerchantshallbearallconsequencesthuscaused,andSuningPaywillnotassumeanyliability.
6、商家同意，基于运行和交易安全及提高服务质量的需要,苏宁易付宝可以暂时停止提供或者限制易付宝服务的部分功能,或提供新的功能；在任何功能减少、增加或者变化时,只要商家仍然继续使用易付宝服务,即表明商家知晓并同意该等变更。
6.TheMerchantagreesthat:asrequiredbythesecurityofoperationandtransactionandtheimprovementofservicequality,SuningPaycantemporarilystoporlimitsomefunctionsofSuningPayService,orprovidenewfunctions.Whenanyfunctionsarereduced,increasedorchanged,aslongastheMerchantstillcontinuestoenjoySuningPayService,theMerchantshallberegardedasunderstandingandacceptingtheabove-mentionedalteration.
（二）易付宝账户密码及安全
(Ⅱ)PasswordandsecurityofSuningPayAccount
商家有义务妥善保管易付宝账户密码，确保机密安全；商家将对使用该易付宝账户和密码所进行的一切行为，负完全的责任，并同意遵守和执行以下事项：
TheMerchantisobligedtotakegoodcareofthepasswordofitsSuningPayAccountandensureitsconfidentialityandsecurity.TheMerchantshallbesolelyresponsibleforallbehaviorsbasedonitsSuningPayAccountandpassword,andagreetoabidebyandcarryoutthefollowingitems:
1、苏宁易付宝通过商家的易付宝账户和密码来识别商家的指示，请商家妥善保管商家的易付宝账户和密码，对于因密码泄露所致的损失，由商家自行承担。商家保证不向其他任何人泄露商家的易付宝账户及密码，亦不使用其他任何人的易付宝账户及密码。
1.SuningPayidentifiestheMerchant’sinstructionsthroughtheMerchant’sSuningPayAccountandpassword.TheMerchantshalltakegoodcareofitsSuningPayAccountandpassword,andshallsolelybearanylossarisingfromthedivulgenceofthepassword.TheMerchantshallneitherdivulgeitsSuningPayAccountandpasswordtoanyotherperson,noruseanyotherperson’sSuningPayAccountandpassword.
2.IftheMerchantfindsoutthatanyotherpersonusestheMerchant’sSuningPayAccountandpasswordintheMerchant’snameandwithouttheMerchant’spermissionorengagesinanyothersimilarbehaviorwithoutthelawfulauthorizationoftheMerchant,theMerchantshallimmediatelynotifySuningPayinaneffectiveway,anddemandSuningPaytosuspendrelevantserviceandtakeemergencymeasures.Inaddition,theMerchantunderstandsthatareasonableperiodisrequiredforSuningPaytotakeactionsagainsttheMerchant’srequest.Beforetakinganyaction,SuningPayshallnotassumeanyliabilityfortheinstructionsthathavealreadybeenexecutedand(or)thelossestheMerchanthasincurred.
3、交易异常处理
3.Handlingofabnormaltransactions
（1）Duetothebank’ssystemproblem,thebank’snetworklinkproblemwithrelevantoperationsoranyotherforce-majeurefactor,SuningPayServicemaybecomeunavailablefortheMerchantsometimes.TheMerchantshallensurethattheMerchant’sdatathattheMerchanthasprovidedarecorrect.IfSuningPaycannottimelynotifytheMerchantofthesubsequenthandlingwayofrelevanttransactionswhentheabove-mentionedabnormalityoccursbecausetheMerchanthasprovidedanywrongdata,SuningPayshallnotassumeanyliabilityforthis.
（2）苏宁易付宝有权了解商家使用易付宝服务的真实交易背景及目的，商家应如实提供苏宁易付宝所需的真实、全面、准确的信息；如果苏宁易付宝有合理理由怀疑商家提供虚假交易信息的，苏宁易付宝有权暂时或永久限制商家所使用的易付宝服务部分或全部功能。
（2）SuningPayshallhavetherighttoknowtherealtransactionbackgroundandpurposefortheMerchanttoenjoySuningPayService.TheMerchantshalltruthfullyprovidethereal,comprehensiveandaccurateinformationrequiredbySuningPay.IfSuningPayhasagoodreasontosuspectthattheMerchanthasprovidedanyfalsetransactioninformation,SuningPayshallhavetherighttotemporarilyorpermanentlylimitpartorallofthefunctionsenjoyedbytheMerchant.
（3）苏宁易付宝在发现商家的易付宝账户可能存在异常交易，或可能存在违反法律或本协议约定情形时，有权不经通知先行暂停或终止该账户的使用（包括但不限于对该账户名下的款项和在途交易采取取消交易、调账等限制措施），并拒绝商家使用易付宝服务之部分或全部功能。
（3）IfSuningPayfindsoutanypossibleabnormaltransactionoranypossibleviolationoflawsortheAgreementontheSuningPayAccountoftheMerchant,thenSuningPayshallhavetherightto,withoutanypriornotice,suspendorterminatetheuseofthisaccount(includingbutnotlimitedtotakingsuchrestrictivemeasuresastransactioncancelingoraccountadjustmenttoanyfundorongoingtransactioninthenameofthisaccount),andforbidtheMerchanttoenjoysomeorallfunctionsofSuningPayService.
四、易付宝服务使用规则条款
Ⅳ.TermsofSuningPayServiceUserRules
为有效保障商家使用易付宝服务进行交易时的合法权益，商家理解并同意接受以下规则：
InordertoeffectivelyensurethattheMerchantcanenjoyrelevantlawfulrightsandinterestswhilecarryingouttransactionsthroughSuningPayService,theMerchantherebyunderstandsandacceptsthefollowingrules:
(Ⅰ)OncetheMerchantbeginstoenjoySuningPayService,theMerchantshallimmediatelyauthorizeSuningPaytohandlefundcollection,paymentandotheraffairsonbehalfoftheMerchant,includingbutnotlimitedtopayinganyfundtoapersondesignatedbytheMerchantwhentheMerchantand/orthepersondesignatedbytheMerchantmeet/meetsthedesignatedconditionsorstates,orcollectinganyfundwhichispaidbythetransactioncounterpartiesoftheMerchant,e.g.otherSuningPayusers,totheMerchant.
(Ⅱ)SuningPayshallacceptanyinstructionfromtheMerchantinthefollowingways:IftheoperatorlogsontotheMerchant’sSuningPayAccountpasswordand/ordigitalcertificateonthewebsiteofSuningE-Commerceoranyotherwebsite/terminalthroughwhichSuningPayServicecanbeaccessed,andconfirmsandissuesatransactioninstructiontoSuningPayaccordingtothepresettingproceduresofSuningPayService,thentheinstructionshallberegardedasanirrevocable,irreversibleandundeniableinstructionthattheMerchantissuestoSuningPay,andshallbecometheonlyinstructionforSuningPaytopayorcollectanyfundonbehalfoftheMerchantorofferanyotherSuningPayServicetotheMerchant.SuningPayshallnotassumeanyliabilityforloyallycarryingoutthisinstruction.IfanytransactiondisputeoccursbetweentheMerchantandanythirdparty,theMerchantshallauthorizeSuningPayto,basedonitsownjudgmentanddecision,whollyorpartiallypaythedisputedfundtoeitherpartyorbothpartiesofthetransaction,andSuningPayshallnotassumeanyliabilityundersuchcircumstances.
(Ⅲ)WhentheMerchantenjoysSuningPayService,thecontentsoftheAgreement,therulesandpromptsabouttransactionoperationoccurringonrelevantwebpages,oranyrulecontentsmentionedintheinformationthatSuningPaysendstothemerchantshallbelongtotherelevantrulesfortheMerchanttoenjoySuningPayServiceandshallbeanintegralpartofSuningPayServiceRules.IftheMerchantbeginstoenjoySuningPayService,theMerchantshallberegardedashavingapprovedandacceptedSuningPayServiceRules.TheMerchantunderstandsandagreesthatSuningPayshallhavetherighttounilaterallymodifySuningPayServiceRuleswithoutobtainingthepriorpermissionoftheMerchant.
(Ⅳ)SuningPayshallnotifytheMerchantoftheprogressofrelevanttransactionsandprompttheMerchanttoconductnext-stepoperationbyemail,shortmessage,telephone,etc.However,SuningPaywillnotguaranteethattheMerchantcanreceiveortimelyreceivethemailornoticeandwillnotbearanyconsequenceforthis.Therefore,intheprocessoftransactions,theMerchantshalltimelylogontotherelevanttransactionwebsitetocheckandcarryoutrelevanttransactionoperation.SuningPaywillnotberesponsibleforanydisputeorlossarisingfromtheMerchant’sfailuretotimelycheckandmodifyorconfirmthetransactionstate,ortheMerchant’sfailuretosubmitrelevantapplication.
(Ⅴ)SuningPayisnotabankoranyotherfinancialinstitution.Therefore,SuningPayisneitherobligedtopayanyinterestoranyotherconsiderationtotheMerchantnorbearanyriskofdevaluationforanyfundundertheSuningPayAccountoftheMerchant.ThefundtransferundertheAgreementshallberealizedthroughabank.TheMerchantunderstandsandagreesthatareasonableperiodisrequiredforthecirculationoffunds.
（六）充值：当商家注册并获得易付宝账户，商家可通过银行服务进行在线充值，以便商家交易时可以快捷安全地支付。
(Ⅵ)Recharge:AftertheMerchantregistersandobtainsitsSuningPayAccount,theMerchantcancarryoutonlinerechargingthroughthebankservice,sothattheMerchantcanmakespeedyandsafepaymentduringtransactions.
（七）交易额度限制：为合理控制风险，苏宁易付宝拥有不时自主调整商家的易付宝账户在一定时期内交易限额的权利。
(Ⅶ)Limitoftransactionamount:Inordertoreasonablycontrolrisks,SuningPayshallhavetherighttoadjustthelimitoftransactionamountoftheMerchant’sSuningPayAccountinacertainperiodatanytimeandonitsown.
(Ⅷ)ThecertificationserviceofSuningPayAccount:WhentheMerchantbecomesaSuningPayuserthroughregistration,theMerchantshallimmediatelyauthorizeSuningPaytoverifytheMerchant’sidentityandqualificationthroughabankortoanythirdperson,andobtaintherelevantdatafortheMerchanttoenjoySuningPayServicethroughSuningE-CommerceCo.,Ltd.oranyotherbusinesspartner.SuningPayshallhavetherighttoconfirmtheMerchant’sidentitythroughanymeasuredeemednecessarybySuningPay.IftheMerchantfailstopassthereal-namecertification,thenthecorrespondingfundswillpossiblybecomeunavailableorunwithdrawablewhenotherspayanyfundstotheMerchantthroughSuningPayService.Inaddition,theMerchantshallauthorizeSuningPaytotemporarilytakecareofthefundsonbehalfoftheMerchant,andthefundscanbecomeavailableandwithdrawableonlyaftertheMerchanthascompletedthereal-namecertification.
(Ⅸ)Informationrelease:WhileenjoyingSuningPayService,theMerchantshallstrictlyabidebytherulesaboutinformationrelease,andshallnotreleaseanyfalseorillegalinformation.SuningPayshallhavetheright(butisnotobliged)toverifytheinformationreleasedbytheMerchant,andwillnotassumeanyliabilityforanydisputearisingfromtheinformationreleasedbytheMerchant.
（十）连线设备：为使用易付宝服务，商家应当使用具备良好品质的网络及互联网连线设备。若因商家的连线设备损坏或故障，造成商家与易付宝服务连接时所进行的交易和提现记录丢失的，苏宁易付宝将不承担商家因此遭受的任何损失。
(Ⅹ)Linkingequipment:InordertoenjoySuningPayService,theMerchantshallhavequalifiednetworkandInternetlinkingequipment.IfanytransactionorwithdrawalrecordislostwhentheMerchantislinkedwithSuningPayServiceduetoanydamageorfailureoftheMerchant’slinkingequipment,SuningPaywillnotbearanylosstheMerchanthasincurredaccordingly.
（十一）交易风险
(Ⅺ)Transactionrisks
（1）IftheMerchantanditstransactioncounterpartyfailtoabidebytheAgreementorSuningPayServiceRuleswhileenjoyingSuningPayService,thenSuningPayshallhavetherighttorefusetoofferrelevantservicestotheMerchantanditstransactioncounterpartywithoutassuminganydefaultordamagecompensationliability.Iftheabove-mentionedcircumstanceoccurs,andtherelevantfundhasalreadybeentransferredandpaidtotheSuningPayAccountoftheMerchantoranyotherperson,thentheMerchantshallauthorizeSuningPaytodirectlydeductandrecoverthecorrespondingfundfromthebalanceoftherelevantSuningPayAccountand(or)forbidtheMerchanttodemandforthepaymentofthisfund.IfthefundhasalreadybeenremittedtothebankaccountoftheMerchant,thentheMerchantshallagreethatSuningPayhastherightofrecoursetotheMerchant.IfSuningPayexercisestherightofrecourseduetotheMerchant’sfault,theMerchantshallbearthereasonablerecoursefeesofSuningPay(includingbutnotlimitedtolawyerfee,notarizationfee,andlitigationfee).
（2）因商家的原因导致的任何损失由商家自行承担，该原因包括但不限于：未按照交易提示操作，未及时进行交易操作，遗忘或泄漏易付宝账户密码，易付宝账户密码被他人破解，商家使用的计算机或连网设备被他人侵入等。
（2）TheMerchantshallsolelybearanylosscausedbytheMerchant’sownfaults,includingbutnotlimitedto:failuretocarryoutoperationaccordingtothetransactionprompts;failuretocarryouttransactionoperationintime;forgettingordivulgingthepasswordofSuningPayAccount;thepasswordofSuningPayAccountisdecodedbyanyotherperson;thecomputerornetworklinkingequipmentoftheMerchantisinvadedbyanyotherperson.
（3）苏宁易付宝对商家所交易的标的物不提供任何形式的鉴定、证明的服务。
（3）SuningPayshallnotprovidetheserviceofauthenticationorattestationinanyformtoanytransactionobjectoftheMerchant.
（4）商家理解并同意，易付宝有权基于独立判断对商家的账户交易风险进行监测，并可以根据风险监测结果对商家使用的易付宝账户采取冻结等风险控制措施。商家涉嫌利用易付宝账户或系统侵害他人权益时，商家将独立承担全部赔偿责任，如易付宝已经先行代偿的，商家同意易付宝有权通过直接冻结、扣划商家易付宝账户相应资金的方式追偿。
（4）TheMerchantunderstandsandagreesthatSuningPayhastherightto,atitsdiscretion,monitortheaccounttransactionrisksoftheMerchant,andtakesuchriskcontrolmeasuresasfreezingtotheSuningPayAccountoftheMerchantaccordingtotheresultofriskmonitoring.IftheMerchantissuspectedofinfringinguponanyotherperson’srightsorinterestsbyusingtheSuningPayaccountorsystem,theMerchantshallsolelyassumeallcompensationliabilities.IfSuningPayhasalreadymadeanycompensationonbehalfoftheMerchant,theMerchantshallauthorizeSuningPaytorecoverthecompensationbydirectlyfreezingordeducting/transferringacorrespondingfundontheSuningPayAccountoftheMerchant.
（十二）交易行为
(Ⅻ)Transactionbehaviors
InordertoensuretheMerchant’ssafeaccesstotheServiceandcontinuouslyimproveservicequality,SuningPaywillrecordandsavetheinformationfortheMerchant’slogintoandaccesstheService,butSuningPayshallpromisenottoprovideanyinformationofthiskindtoanythirdparty(unlessotherwiseagreedbetweenbothpartiesorspecifiedbyrelevantlawsandapartfromanyaffiliatedcompanyorauxiliarycooperatorofSuningPay).
（十三）数据分析和发布
(ⅩⅢ)Dataanalysisandrelease
商家同意，苏宁易付宝有权收集整理易付宝用户的身份、交易行为、用户偏好等信息，并出于科研、商业、销售或奖励等需要使用或披露有关统计分析信息（该等统计分析信息不足以使他人识别出商家本人的隐私信息）。
TheMerchantagreesthatSuningPayshallhavetherighttocollectandsorttheidentity,transactionbehaviors,preferenceandotherinformationoftheSuningPayuser,anduseordivulgetherelevantinformationofstatisticalanalysisforscientificresearch,commerce,sales,rewardoranyotherrequirement(TheinformationofstatisticalanalysisshallnotsufficientlyenableanyotherpersontoidentifytheMerchant’sprivateinformation).
（十四）Cookie的使用及设备软硬件配置信息的收集。
(ⅩⅣ)TheuseofCookieandthecollectionofinformationaboutequipmentsoftwareandhardwareconfiguration.
商家了解并同意，苏宁易付宝使用Cookie来使易付宝服务对用户更友好（它可以跟踪商家的浏览器的状态，帮商家省去为使用本服务而重复输入注册信息的繁琐），同时，苏宁易付宝可以收集由商家设备的软硬件配置信息生成的特征信息，用于标识商家的设备，以便更好地为商家服务。
TheMerchantunderstandsandagreesthatSuningPaycanuseCookietomakeSuningPayServicefriendliertousers(ItcanmonitorthestateoftheMerchant’sbrowser,andsavetheMerchantfromthetediousworkofrepeatedlyenteringtheregistrationinformationtoaccesstheService).Inaddition,SuningPaycancollectanycharacteristicinformationgeneratedbythesoftware/hardwareconfigurationinformationoftheMerchant’sequipment,andusethecharacteristicinformationtoidentifytheMerchant’sequipment,soastoofferbetterservicestotheMerchant.
（十五）为更有效地向商家提供服务，商家同意，苏宁易付宝有权将商家注册及使用本服务过程中所提供、所形成的信息提供给苏宁易付宝的关联公司或辅助合作单位。
(ⅩⅤ)InordertomoreeffectivelyservetheMerchant,theMerchantagreesthatSuningPayshallhavetherighttoprovidetheinformationprovidedorgeneratedwhentheMerchantregistersandenjoystheServicetoanyaffiliatedcompanyorauxiliarycooperatorofSuningPay.
同时，为更安全有效地向商家提供服务，根据法律法规的规定，或苏宁易付宝认为需识别商家的身份，或苏宁易付宝认为商家的易付宝账户存在风险时，苏宁易付宝有权要求商家提交身份信息。如果商家是自然人，需要商家提交的身份信息包括但不限于身份证、户口本、护照等证件或其他证明文件；如果商家是单位或企业，需要商家提交的身份认证信息包括但不限于营业执照或其他合法经营证明、组织机构代码证、税务登记证或其他合法纳税证明、法定代表人或负责人有效身份证明、主要联系人有效身份证明、行业许可证、财务报告、银行对账单、经营场所证明等材料。当商家提供的身份证明文件有效期到期时，商家应向易付宝提供更新后的文件，否则商家可能无法正常使用商家的易付宝账户。
除本协议另有规定外，苏宁易付宝不对外公开或向第三方提供商家的信息，但以下情况除外：
UnlessotherwisespecifiedintheAgreement,SuningPayshallnotpublicizetotheoutsideorprovideanythirdpartywiththeMerchant’sinformation,exceptunderthefollowingcircumstances:
A.HaveobtainedtheMerchant’sexplicitauthorizationinadvance;
B、只有披露商家的资料，才能提供商家需要的产品和（或）服务；
B.CansupplytheproductsdemandedbytheMerchantand/oroffertheservicesdemandedbytheMerchantonlyafterdisclosingtheMerchant’sdata;
C、按照本协议的要求进行的披露；
C.DisclosetheinformationaccordingtotheAgreement;
D、根据法律法规的规定；
D.Accordingtorelevantlawsandregulations;
E、按照政府主管部门的要求；
E.Accordingtotherequirementsofthecompetentauthorities;
F、为维护苏宁易付宝及其关联公司的合法权益；
F.InordertosafeguardthelawfulrightsandinterestsofSuningPayanditsaffiliatedcompany;
G.AccordingtothereasonablerequirementsofotherwebsitestheMerchanthassuccessfullyloggedontowiththeSuningPayAccount;
H、对商家或商家所代表公司的身份真实性进行验证。
H.AuthenticatetheidentityoftheMerchantorthecompanyrepresentedbytheMerchant.
（十六）外部链接
(ⅩⅥ)Externallinking
苏宁易购网站可能含有到其他网站的链接，但苏宁易付宝对其他网站的隐私保护措施不负任何责任。苏宁易付宝可能在任何需要的时候增加商业伙伴或共用品牌的网站。
ThewebsiteofSuningE-Commercemaycontainlinkstootherwebsites.However,SuningPayisnotresponsiblefortheprivacyprotectionmeasurestootherwebsites.SuningPaymayincreasewebsitesofbusinesspartnersorsharedbrandswhennecessary.
（十七）安全
(ⅩⅦ)Security
苏宁易付宝仅按现有技术提供相应的安全措施来使苏宁易付宝掌握的信息不丢失，不被滥用和变造。这些安全措施包括向其它服务器备份数据和对用户密码加密。尽管有这些安全措施，但苏宁易付宝不保证这些信息的绝对安全。
SuningPayprovidescorrespondingsecuritymeasuresmerelyaccordingtoitsexistingtechnologytopreventtheinformationunderthecontrolofSuningPayfrombeinglost,abusedandaltered.Thesesecuritymeasuresincludeback-uppingdatatootherserversandencryptinguserpasswords.Inspiteofthesesecuritymeasures,SuningPaywillnotguaranteetheabsolutesecurityoftheinformation.
（十八）查询、冻结或扣划
(ⅩⅧ)Inquiry,freezingordeduction
商家同意，为了商家的易付宝账户及其中资金的安全，根据本协议的约定、法律法规及法律文书的规定、政府依行政职权的要求及苏宁易付宝依据自行判断认为的可能对商家的易付宝账户产生风险或者商家的易付宝账户存在风险的情况，苏宁易付宝有权对商家的易付宝账户进行冻结，即进行暂时关闭该账户部分或全部使用权限的操作。冻结的逆过程为解冻，即苏宁易付宝对商家的被冻结的易付宝账户结束冻结。当冻结发生时，如商家申请解冻，苏宁易付宝有权依照自行判断根据本项规定前述的冻结原因来决定是否允许解冻，商家应充分理解商家的解冻申请并不必然被允许，且申请解冻时商家应当配合苏宁易付宝核实商家的身份的有关要求，根据易付宝要求提供商家的有效身份信息。如果商家是自然人，需要商家提交的身份信息包括但不限于身份证、户口本、护照等证件或其他证明文件；如果商家是单位或企业，需要商家提交的身份信息包括但不限于营业执照或其他合法经营证明、组织机构代码证、税务登记证或其他合法纳税证明、法定代表人或负责人有效身份证明、主要联系人有效身份证明、行业许可证、财务报告、银行对账单、经营场所证明等材料。
商家同意，苏宁易付宝有权按照包括但不限于公安机关、检察机关、法院、海关、税务机关等司法机关、行政机关、军事机关的要求对商家在易付宝的资金及账户等进行查询、冻结或扣划。
TheMerchantagreesthatSuningPayhastherighttoinquireabout,freezeordeduct/transferanyfund,account,etc.oftheMerchantatSuningPayaccordingtotherequirementsofjudiciary,administrativeandmilitaryorgans,includingbutnotlimitedtopublicsecurityorgan,procuratorialorgan,lawcourt,customsofficeandtaxationorgan.
五、“易付宝服务”使用限制
Ⅴ.Accesslimitationof“SuningPayService”
（一）如果商家破坏、入侵、修改易付宝服务功能或其安全防护体系或者实施其他危害易付宝服务功能或安全防护体系的行为，商家的账户将会被注销，且商家必须承担一切损害赔偿等法律责任。
(Ⅰ)IftheMerchantdestroys,invadesoraltersthefunctionsofSuningPayServiceSystemoritssecurityprotectionsystemortakesanyotheractionwhichendangersthefunctionsorsecurityprotectionsystemofSuningPayService,thentheMerchant’saccountwillbecancelled,andtheMerchantmustassumeallrelevantlegalliabilitiesincludingdamagecompensation.
(Ⅱ)AsforwhatisdescribedonthewebsiteofSuningPayoranyotherrelevantcooperativewebsite,includingbutnotlimitedtoSuningPay’strademarkandrelevantproductsandservices,allrelevantrightsandinterestsshallbelongtoSuningPay.WithoutthewrittenpermissionandapprovalofSuningPay,nobodyelsecanusethemortakeanyinfringingactionagainstthem.
（三）在发生或可能发生任何违法交易、盗窃或诈骗行为等触犯法律之情况时，苏宁易付宝将按照有权机关之指示行使或采取应急措施。由此造成易付宝账户冻结或款项转移而涉及商家的合法权益时，商家应及时主动向苏宁易付宝、银行或有权机关提供有关交易证据，必要时商家应就商家提供的证据向银行或有权机关进行说明，如未能提供真实有效的交易证据，商家应独立承担由此造成的一切损失。
(Ⅲ)Ifanyillegaltransaction,theft,fraud,oranyotherviolationoflawoccursormayoccur,SuningPaywillexerciseortakeemergencymeasuresaccordingtotheinstructionofanycompetentauthority.IfanylawfulrightorinterestoftheMerchantisinvolvedwhenitsSuningPayaccountisfrozenoritsfundistransferredaccordingly,theMerchantshalltimelyandactivelyproviderelevanttransactionevidencetoSuningPay,thebankorcompetentauthorities.Whennecessary,theMerchantshallmakedueexplanationtothebankorcompetentauthoritiesontheevidenceprovidedbytheMerchant.IftheMerchantfailstoprovideanytruthfulandeffectivetransactionevidence,theMerchantshallindependentlybearalllossesthuscaused.
（四）为使商家的合法权益在发生易付宝账户冻结并申请索回款项时得到有效的保护，商家需保留与实际交易有关的一切凭证。
(Ⅳ)InordertoeffectivelyprotecttheMerchant’slawfulrightsandinterestswhentheMerchant’sSuningPayAccountisfrozenandthemerchantappliesforrecoveringitsfunds,theMerchantneedstoreserveallcertificatesassociatedwithitsactualtransactions.
六、易付宝服务收费条款
Ⅵ.TermsofSuningPayServiceCharging
（一）收费标准
(Ⅰ)Chargingstandards
当商家在苏宁开放平台使用“易付宝服务”时，商家应同时向苏宁易付宝支付易付宝服务费（“手续费”）手续费为0。
WhentheMerchantenjoys“SuningPayService”onSuningOpenPlatform,theMerchantshallpaySuningPayServiceCharge(“ServiceFee”)toSuningPayatthesametime.ServiceFeeis0.
如商家未按时向苏宁易付宝支付手续费的，商家除应当立即支付手续费外，在迟延支付期间，商家还应当以未付金额为本金，按日万分之五的计算标准向苏宁易付宝支付迟延付款违约金。
IftheMerchantfailstopaytheservicefeetoSuningPayontime,thentheMerchantshallnotonlyimmediatelypaytheservicefee,butalsopayalatepaymentdefaultfinetoSuningPayequivalentto5/10000oftheunpaidamountforeachdayofdeferredpayment.
（二）手续费收取方式
(Ⅱ)Thewayofchargingtheservicefee
商家同意苏宁易付宝有权自商家的易付宝账户上直接扣除手续费及其他商家应支付给苏宁易付宝的费用（如迟延付款违约金等）；如商家的易付宝账户余额不足以向苏宁易付宝支付手续费及其他应付费用的，则苏宁易付宝有权拒绝为商家提供易付宝服务；在商家的易付宝账户余额不足以支付手续费的情况下，若苏宁易付宝为商家提供了相应的易付宝服务的，则苏宁易付宝依然有权向商家收取相应的手续费，并可以在此后商家的易付宝账户余额中优先扣除商家应支付给苏宁易付宝的手续费及其他应付费用。
TheMerchantagreesthatSuningPayhastherighttodirectlydeducttheservicefeeandanyotherfeethattheMerchantshallpaytoSuningPay(e.g.latepaymentdefaultfine)fromtheMerchant’sSuningPayAccount.IfthebalanceoftheMerchant’sSuningPayAccountcannotbeusedtofullypaytheservicefeeandotherpayablestoSuningPay,thenSuningPayshallhavetherighttorefusetoofferSuningPayServicetotheMerchant.IfthebalanceoftheMerchant’sSuningPayAccountcannotbeusedtofullypaytheservicefee,andSuningPayhasalreadyofferedcorrespondingSuningPayService,thenSuningPayshallstillhavetherighttochargeacorrespondingservicefeeontheMerchant,andthereaftercanfirstdeducttheservicefeeandanyotherfeethattheMerchantshallpaytoSuningPayfromthebalanceoftheMerchant’sSuningPayAccount.
除本协议约定方式外，苏宁易付宝还有权通过发布催收公告、提起诉讼等合法方式向商家收取商家应当支付给苏宁易付宝的手续费等费用。
InadditiontothewayspecifiedintheAgreement,SuningPayshallhavetherighttochargetheservicefeeandanyotherfeethattheMerchantshallpaytoSuningPayinsuchlawfulwaysasreleasingacollectionannouncementandfilingalawsuit.
（三）收费规则调整
(Ⅲ)Theadjustmentofchargingrules
SuningPayshallhavetherighttoformulatethechargingstandardsoftheservicefeeandadjustthematanytime.IfSuningPayadjuststhechargingstandardsofservicefee,SuningPayshallreleasethenewchargingstandardsthroughthewebsiteofSuningE-CommerceorSuningOpenPlatform.Unlessotherwisespecified,thenewchargingstandardsshallimmediatelybecomeeffectivesincetheyarepublicized.IftheMerchantdisagreeswiththeservicefeechargingstandardsofSuningPay,theMerchantshallstopenjoying“SuningPayService”andtheonlyreliefapproachfortheMerchantshallbestoppingenjoying“SuningPayService”.WhentheMerchantlogsintoorcontinuestoenjoy“SuningPayService”,theMerchantshallberegardedashavingacceptedthelatesteffectivechargingstandardsofservicefee.
七、系统中断或故障
Ⅶ.Systeminterruptionorfailure
若易付宝软件系统因下列状况无法正常运作，使商家无法使用各项服务时，苏宁易付宝不承担违约及损害赔偿责任，该状况包括但不限于：
IfthesoftwaresystemofSuningPaycannotoperatenormallyunderthefollowingcircumstancessothattheMerchantcannotenjoyvariousservices,thenSuningPayshallnotassumeanydefaultordamagecompensationliability.Thesecircumstancesincludebutnotlimitedto:
（一）苏宁易付宝公告系统停机维护期间。
(Ⅰ)InthehaltandmaintenanceperiodoftheannouncementsystemofSuningPay.
（二）电信设备出现故障不能进行数据传输的。
(Ⅱ)Thetelecommunicationequipmentbreaksdownandcannottransmitdataanylonger.
（三）因台风、地震、海啸、洪水、停电、战争、恐怖袭击等不可抗力之因素，造成苏宁易付宝系统障碍不能执行业务的。
(Ⅲ)ThesystemofSuningPaybreaksdownandcannotcarryoutanybusinessduetosuchforcemajeurefactorsastyphoon,earthquake,tsunami,flood,powerfailure,warandterroristattack.
（四）由于黑客攻击、电信部门技术调整或故障、网站升级、银行方面的问题等原因而造成的服务中断或者延迟。
(Ⅳ)Theserviceisinterruptedordelayedduetohackerattack,technicaladjustmentorbreakdownoftelecommunicationdepartment,websiteupgradingorbankproblem.
（五）其他非苏宁易付宝的原因造成的易付宝服务中断或故障。
(Ⅴ)SuningPayServicehaltsorbreaksdownforanyotherreasonthanthatofSuningPay.
八、用户的守法义务及承诺
Ⅷ.Theuser’slaw-abidingobligationandpromise
(Ⅰ)WhileenjoyingSuningPayService,theMerchantshallabidebyrelevantlawsandregulationswhichareeffectiveandapplicableinthemainlandofthePeople’sRepublicofChina,andshallneitheruseSuningPayServiceforanyotherillegalpurpose,noraccessSuningPayServiceinanyotherillegalway.
(Ⅱ)TheMerchantshallnotuseSuningPayServicetoengageinanyillegalactwhichinfringesuponothers’lawfulrightsandinterests;otherwiseSuningPayshallhavetherighttorefusetooffertheService,andtheMerchantshallassumeallrelevantlegalliabilities,andtheMerchantshallassumeduecompensationliabilityforanylossthatSuningPay,theemployeesofSuningPay,therelevantbusinesspartnersofSuningPayoranyotherrelevantrightownershaveincurredaccordingly.Theabove-mentionedillegalactsincludebutnotlimitedto:
1、侵害他人名誉权、隐私权、商业秘密、商标权、著作权、专利权等合法权益。
1.Infringeuponothers’lawfulrightsandinterests,includingrightofreputation,privacyright,businesssecret,trademarkright,copyrightandpatentright.
2、违反依法定或约定之保密义务。
2.Violateanystatutoryorcontractualconfidentialityobligation.
3、冒用他人名义使用易付宝服务。
3.EnjoySuningPayServiceinthenameofandwithoutthepermissionofothers.
4、从事不法交易行为，如洗钱、贩卖枪支、毒品、禁药、盗版软件、黄色淫秽物品、其他苏宁易付宝认为不得使用易付宝服务进行交易的物品等。
4.Engageinanyillegaltransactionbehaviors,includingmoneylaundering,andpeddlingortraffickingofguns,narcotics,illicitdrugs,piratedsoftwareandobsceneandpornographicgoods,orotherarticlesthatcannotbetradedthroughSuningPayServiceintheopinionofSuningPay.
5、提供赌博资讯或以任何方式引诱他人参与赌博。
5.Providegambleinformationortemptothersintogamblinginanyotherway.
6、非法使用他人银行账户（包括信用卡账户）或无效银行账号（包括信用卡账户）交易。
6.Illegallyuseanyotherperson’sbankaccount(includingcreditcardaccount)orinvalidbankaccount(includingcreditcardaccount)fortransaction.
7、违反《银行卡业务管理办法》使用银行卡，或利用信用卡套取现金（以下简称套现）。
7.UsethebankcardagainsttheManagementMeasuresofBankCardBusiness,orusethecreditcardformonetization.
8、进行与商家或交易对方宣称的交易内容不符的交易，或不真实的交易。
8.EngageinanytransactioninconsistentwiththatassertedbytheMerchantoritstransactioncounterparty,orengageinanyunrealtransaction.
9、从事任何可能含有电脑病毒或是可能侵害本服务系统、资料之行为。
9.Engageinanybehaviorwhichmaycontaincomputervirusormayinfringeuponthisservicesystemanddata.
10、其他法律禁止或苏宁易付宝有正当理由认为不适当之行为。
10.AnyotherbehaviorbannedbylawsoranyotherbehaviorwhichSuningPayhasagoodreasontobelieveisimproper.
（三）商家理解并同意，苏宁易付宝不对因下述任一情况导致的任何损害承担赔偿责任，包括但不限于利润、商誉、使用、数据等方面的损失或其他无形损失的损害赔偿(无论苏宁易付宝是否已被告知该等损害赔偿的可能性)：
(Ⅲ)TheMerchantunderstandsandagreesthatSuningPayshallnotassumeanycompensationliabilityforanydamagecausedbyanyofthefollowingcircumstances,includingbutnotlimitedtothedamagecompensationforlossinsuchaspectsasprofit,goodwill,utilizationanddataoranyotherintangibleloss(NomatterwhetherornotSuningPayhasbeeninformedofthepossibilityofthiskindofdamagecompensation):
1、苏宁易付宝有权基于单方判断，包括但不限于苏宁易付宝认为商家已经违反本协议的规定，暂停或终止向商家提供易付宝服务或其任何部分。
1.SuningPayhastherightto,basedonitsunilateraljudgment,includingbutnotlimitedtoSuningPay’sjudgmentthattheMerchanthasalreadyviolatedtheprovisionsoftheAgreement,suspendorterminateitsSuningPayServiceoranypartofittotheMerchant.
2.Whennecessary,SuningPaycanterminatetheSuningPayServicewithoutanypriornotification,suspend,closeorcancelthisaccountandallrelevantdataandfilesintheMerchant’sSuningPayAccountNumber,andrefundalllawfulfundsthattheMerchanthasleftbehindonthisaccounttotheMerchant’sbankaccount.
(Ⅳ)IftheMerchantneedstohaveitsSuningPayAccountcancelled,theMerchantshallobtainSuningPay’sapprovalandpermissioninadvance.IfSuningPayhascanceledthisaccount,thentheagreementbetweenSuningPayandtheMerchanthasbeenterminated,However,theMerchantshallstillassumepossibledefault,damagecompensationandotherlegalliabilitiesfortheMerchant’sbehaviorsintheperiodwhentheMerchantenjoysSuningPayService,andSuningPaycanstillretaintheMerchant’srelevantdataandinformation.
九、责任范围及责任限制
Ⅸ.Scopeandlimitationofliabilities
（一）苏宁易付宝仅对本协议中列明的责任承担范围负责。
(Ⅰ)SuningPayassumesonlytheliabilitiesspecifiedintheAgreement.
（二）商家明确因交易所产生的任何风险应由商家自行评估和承担。
(Ⅱ)TheMerchantagreesthatanyriskarisingfromtransactionsshallbeindependentlyappraisedandbornebytheMerchant.
（三）易付宝用户信息是由用户本人自行提供的，苏宁易付宝无法保证该信息之准确、及时和完整，商家应对商家的判断承担全部责任。易付宝对用户的实名认证仅通过互联网的间接方式进行形式审核，无法进行实质性审核。
(Ⅲ)IftheuserinformationofSuningPayisprovidedbytheuseronitsown,thenSuningPaycannotensuretheaccuracy,timelinessandintegrityoftheinformationandtheMerchantshallassumeallliabilitiesforitsownjudgment.Inthecaseofthereal-namecertificationofSuningPaytotheuser,SuningPaycanonlycarryoutformalverificationintheindirectwayofInternet,andcannotcarryoutanysubstantialverification.
（四）苏宁易付宝不对交易标的及本服务提供任何形式的保证，包括但不限于以下事项：
(Ⅳ)SuningPaywillnotprovideanyformofguaranteetothetransactionobjectandtheService,includingbutnotlimitedto:
1、本服务符合商家的需求。
1.TheServicemeetstheMerchant’sdemand.
2、本服务不受干扰、及时提供或免于出错。
2.TheServiceisfreefromanyinterruption,istimelyofferedorfreeofanyerror.
3、商家经由本服务购买或取得之任何产品、服务或其他资料符合商家的期望。
3.Anyproduct,serviceoranyotherdatapurchasedoracquiredbytheMerchantthroughtheServicemeetstheMerchant’sexpectation.
（五）本服务之合作单位，所提供之服务品质及内容由该合作单位自行负责。
(Ⅴ)AnycooperatoroftheServiceshallberesponsibleforthequalityandcontentofanyserviceofferedbythecooperator.
（六）商家经由本服务之使用下载或取得任何资料，应由商家自行考量且自负风险，因资料之下载而导致商家电脑系统之任何损坏或资料流失，商家应负完全责任。
(Ⅵ)IftheMerchantdownloadsorobtainsanydatathroughtheService,theMerchantshallresorttoitsownjudgmentandsolelybearanyrelevantrisk.IfthedownloadingofanydataresultsintheMerchant’scomputersystem’sanydamageordataloss,theMerchantshallassumeallrelevantliabilities.
（七）商家自苏宁易付宝及苏宁易付宝工作人员或经由本服务取得之建议和资讯，无论其为书面或口头形式，均不构成苏宁易付宝对本服务之保证。
(Ⅶ)AnysuggestionormessagetheMerchantobtainsfromSuningPayoranyemployeeofSuningPayorthroughtheService,nomatterinoralorwrittenform,shallnotconstituteSuningPay’sanyguaranteefortheService.
（八）在法律允许的情况下，苏宁易付宝对于与本协议有关或由本协议引起的任何间接的、惩罚性的、特殊的、派生的损失（包括业务损失、收益损失、利润损失、使用数据或其他经济利益的损失），不论是如何产生的，也不论是由对本协议的违约（包括违反保证）还是由侵权造成的，均不负有任何责任，即使事先已被告知此等损失的可能性。
(Ⅷ)Asfarasthelawpermits,SuningPayshallnotassumeanyliabilityforanyindirect,punitive,specialorderivativelossinconnectionwithorarisingfromtheAgreement(includingbusinessloss,incomeloss,profitloss,lossofservicedataorthelossofanyothereconomicinterest),nomatterhowthelossarises,andnomatterwhetherthelossiscausedbyanyviolationoftheAgreement(includingbreachofwarranty)orbyanyinfringement,evenifSuningPayhasbeeninformedofthepossibilityofthelossinadvance.
(Ⅸ)ConsideringthatthepresentInternetsecurityprotectiontechnologyandmeasuresareimprovedandperfectedcontinuouslyandarecontinuouslyinfaceofnewchallenges,theMerchantwillfacesomeriskswhileenjoyingSuningPayService,includingbutnotlimitedto:theSuningPayaccountandpasswordoftheMerchantareimitated,usurpedorinvadedbyothersoranyotherunauthorizedcircumstancemayoccur;oranylawbreakerusurpstheMerchant’sbankcard,orthetransactioncounterpartyrefusestomakepayment,etc.TheseriskswillbringeconomiclosstotheMerchant.UnlesstheMerchantcanprovethatSuningPayhasanydeliberationorgrossnegligencetotheformationoftheloss,SuningPaywillnotassumeanyliability.Inaddition,underanycircumstance,theupperlimitofthedefaultorcompensationliability(ifany)assumedbySuningPaytotheMerchantwithregardtotheAgreementshallnotexceedthetotaloftheservicefeethatSuningPayhaschargedontheMerchant.
十、隐私保护
Ⅹ.Privacyprotection
（一）对于商家的隐私及个人非公开信息，苏宁易付宝将依照法律规定和协议约定，予以严格保密。
(Ⅰ)SuningwilltreattheMerchant’sprivacyandpersonalnonpublicinformationasstrictlyconfidentialaccordingtotheprovisionsofrelevantlawsandtheAgreement.
（二）在阅读本协议以及申请注册成为易付宝用户时，如商家尚未满18周岁或非合法主体的，商家不能使用易付宝服务，请商家终止注册行为，不要向我们提供商家的任何个人信息。
(Ⅱ)IftheMerchanthasnotyetreached18fullyearsoldortheMerchantisnotalawfulentitywhentheMerchantreadstheAgreementandappliesforbecomingauserofSuningPaythroughregistration,thentheMerchantcannotaccessSuningPayService,andshallstopitsregistrationbehavior,andshallnotprovideuswiththeMerchant’sanypersonalinformation.
（三）在商家注册时，苏宁易付宝会要求商家设置用易付宝账户名和密码来识别商家的身份，并可能会设置密码提示问题及其答案，以便在商家丢失密码时用以确认商家的身份。商家仅可通过商家设置的密码来使用该账户，如果商家泄漏了密码，商家可能会丢失商家的个人识别信息，并可能导致对商家不利的法律后果。
(Ⅲ)Atthetimeofregistration,SuningPaywilldemandtheMerchanttosetitsSuningPayaccountnameandpasswordtoidentifytheMerchant,andpossiblysetapasswordpromptquestionanditsanswer,soastoconfirmtheMerchant’sidentitywhentheMerchantlosesitspassword.TheMerchantcanmerelyaccesstheaccountthroughthepasswordithasset.IftheMerchantdivulgesitspassword,theMerchantmayloseitspersonalidentificationinformation,andtheMerchantmayincuranyunfavorablelegalconsequenceaccordingly.
（Ⅳ）TheSuningPayServiceofferedbySuningPaywillrequiretheMerchanttoprovideitsbankaccountinformation.AftertheMerchantprovidescorrespondinginformation,SuningPaywillstrictlyfulfillrelevantconfidentialityobligation.
(Ⅴ)InordertoensuretheMerchant’ssafeaccesstotheSuningPayServiceandcontinuouslyimproveservicequality,SuningPaywillrecordandsavetheinformationprovidedandgeneratedfortheMerchanttoregister,logintoandaccesstheService,butSuningPayshallpromisenottoprovideanyinformationofthiskindtoanythirdparty(unlessotherwiseagreedbetweenbothpartiesorspecifiedbyrelevantlawsandapartfromanyaffiliatedcompanyorauxiliarycooperatorofSuningPay).
十一、管辖法院及法律适用
Ⅺ.Competentcourtandlegalapplication
本协议（含易付宝服务规则）之解释与适用，以及与易付宝服务有关的争议，均应依照中华人民共和国大陆地区有效适用之法律予以处理，并由苏宁易付宝所在地相应级别的中华人民共和国法院管辖。
BoththeinterpretationandapplicationoftheAgreement(includingSuningPayServiceRules)andanydisputeconcerningSuningPayServiceshallbesettledinaccordancewiththeeffectiveandapplicablelawsofthemainlandofthePeople’sRepublicofChina,andshallbegovernedbythecourtofthePeople’sRepublicofChinaatthecorrespondinglevelattheplaceofSuningPay.
十二、协议关系
Ⅻ.Agreementrelationship
本协议内容包括协议正文及所有苏宁易付宝已经发布的或将来可能发布的易付宝服务规则，及苏宁易付宝不时发布的其他明示属于本协议组成部分的合同或法律文件。本协议中的中文与英文条款解释不一致的，以中文解释为准。
TheAgreementincludesthemainbodyoftheAgreementandallSuningPayServiceRulesthatSuningPayhasalreadyreleasedormayreleaseinthefuture,andothercontractsorlegaldocumentswhichexplicitlybelongtotheAgreementandwhicharereleasedbySuningPayatanytime.IncasethereisanydiscrepancybetweentheChineseandEnglishversionofthisAgreement,theChineseversionshallprevail.
